Mauritius has a Code of Corporate Governance (CCG) since April 2003 covering the role and function of the company secretary (CS). The CCG consists of a set of rules accompanied by a report on how to implement those rules. The CCG applies to various businesses, namely Co.s listed on the stock exchange, banking & non-banking institutions, large public companies, state-owned enterprises, quasi-government bodies partly or wholly state-owned. In this session, some important questions will be dealt like:
What is the role of the CS in corporate governance?
What relationship the CS has with the Board and with the Directors?
What advisory role has been assigned to the CS in relation to ethics and good governance of a company?
